Req ID 13355BR Market Title Junior Corporate Counsel Job Category Legal Full or Part Time Full Time City Burlington State/Region Massachusetts Job Description (Role Profile) JOB SUMMARY: Reporting to the Sr. Corporate Counsel, Products, the Junior Corporate Counsel will be responsible for assisting with protecting and managing Company Intellectual Property and assisting with a wide range of product and technology related issues. The successful candidate will ensure organizational compliance with laws, industry requirements and Company policies to build a culture of compliance that is woven into the fabric of the organization, at all levels, across all geographies, and in all departments. She/he will establish the highest standards of ethical behavior and conduct while providing expertise, consultation and assessments in matters related to intellectual property and technology. KEY RESPONSIBILITIES: * Support company's professional audio, video, notation, content management, storage and graphics product families. Aid engineers and product managers with a wide range of legal issues relating to the development, manufacture, sales, support and marketing of professional and consumer hardware, software and Software as a Service product offerings. * Assist with intellectual property protection and strategy, including trademark clearance and registration of company's copyrights. * Draft and maintain API and SDK and other technology licenses. Draft and maintain end user license agreements. Oversee open source licensing and compliance. Negotiate inbound IP licenses. * Draft and negotiate agreements with offshore and domestic contract manufacturers, OEMs and ODMs. Advise on all aspects of product design and manufacturing, including export and environmental compliance. Draft and negotiate logistics and warehousing agreements. Negotiate IT service provider agreements. * Assist with domestic and international sales and support agreements with enterprise and governmental customers and channel partners. Negotiate company partnership agreements for distribution of third party partner products. Review marketing materials. * Draft guidelines and playbooks to aid business units with negotiations and compliance with laws and company policies. * Assist with general in-house counsel duties such as sales, facilities, and HR support on an as-needed basis. SKILLS AND KNOWLEDGE: * Experience in intellectual property law and general knowledge of product development and emerging technologies * 1-3 years law firm or in-house experience preferred * Ability to work independently, providing high quality legal advice with little supervision * Ability to form strong working relationships with internal clients while maintaining firm adherence to legal standards * Strong work ethic, good organization skills, and experience managing multiple projects simultaneously * Superior interpersonal skills, dynamic and team-oriented * Flexibility and willingness to work on a broad variety of legal matters * Juris Doctorate degree and admission to a state bar, preferably, New York or Massachusetts.
